1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity, "Client" or "you") and Groundwork Digital LLC ("Groundwork Digital," "we," "our," or "us"), concerning your access to and use of our website (groundworkdirect.com) and our professional managed digital services.

2. Nature of Services

Groundwork Digital provides managed digital services designed to establish, optimize, and maintain an organic Google and local search presence for local businesses. Services may include:

• Google Business Profile optimization and ongoing management
• Organic local search visibility and service-area structuring
• Website strategy, local architecture, and technical improvement
• Review generation systems and reputation management workflows
• Local service content and relevance development
• Conversion path optimization and lead follow-up infrastructure
• Search ranking monitoring, market visibility tracking, and reporting

All services are delivered pursuant to customized statements of work or client service agreements executed between Groundwork Digital LLC and the Client.

3. Client Responsibilities & Access

To perform the services, Client agrees to provide timely access to relevant accounts (e.g., Google Business Profile, website CMS, DNS, or domain registrar), accurate business details, and necessary approvals. Client represents that all business information provided is truthful and complies with applicable laws.

4. Ownership of Assets

Groundwork Digital builds an asset you own. All Google Business Profiles, domain names, customer review listings, and website assets created or optimized for the Client remain the property of the Client upon settlement of applicable fees.

5. Payment & Invoicing

Fees for managed services, setup packages, or recurring retainers are specified in the applicable client agreement or invoice. Payments are billed in advance or on the schedule specified in the agreement, processed securely through Stripe.

6. No Guaranteed Rankings or Search Results

Groundwork Digital applies industry best practices, structural optimization, and proven organic principles. However, search engines (including Google) operate proprietary algorithms subject to independent changes. We do not guarantee specific numerical rankings, call volumes, or revenue numbers.

7. Limitation of Liability

To the maximum extent permitted by law, Groundwork Digital LLC shall not be liable for any indirect, incidental, special, or consequential damages resulting from search algorithm changes, third-party platform actions, or downtime.
